These Terms and Conditions (“Terms”) govern access to and use of the Paid Ads MCP Server and related services provided by Connected Paths International Ltd, a company incorporated in England and Wales with company number 17001819 and registered office at 24 Jubilee Walk, Kings Langley, England, WD4 8FF (“Connected Paths”, “we”, “us” or “our”).

By registering for, accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

In these Terms:
• “Account” means the account created by or for the Customer to access the Service.
• “AI Platform” means any third-party artificial intelligence platform, including ChatGPT, Claude, Cursor or similar systems, through which the Service may be accessed.
• “Authorised User” means an employee, contractor or representative authorised by the Customer to use the Service.
• “Connected Advertising Account” means a Google Ads, LinkedIn Ads or other third-party advertising account connected to the Service.
• “Customer” means the legal person or entity purchasing or using the Service.
• “Customer Data” means all information, prompts, campaign data, advertising account information, reports, analytics and other data submitted to or accessed by the Service on behalf of the Customer.
• “Documentation” means any instructions, specifications, onboarding materials or user guidance made available by Connected Paths.
• “Fees” means the fees payable for the Service.
• “Intellectual Property Rights” means all copyright, database rights, trade marks, patents, know-how, trade secrets and all other intellectual property rights, whether registered or unregistered.
• “MCP” means Model Context Protocol.
• “Service” means the Paid Ads MCP Server, including any software, APIs, connectors, dashboards, reports, support and related services.

2. The Service

2.1 The Service enables the Customer to connect certain third-party advertising platforms to an AI Platform using MCP, including for campaign analysis, reporting, keyword planning, account review and related advertising workflows.

2.2 Unless expressly stated otherwise, the Service provides read-only access, reporting and recommendation functionality only and does not make changes to Connected Advertising Accounts.

2.3 Certain optional features may permit write, execution or campaign modification functionality affecting Connected Advertising Accounts where expressly enabled by Connected Paths and activated by the Customer.

2.4 The Customer remains solely responsible for reviewing and approving any recommendations or actions before they are implemented.

2.5 Connected Paths may change, improve, suspend or discontinue any part of the Service at any time where reasonably necessary to:
• improve security or performance;
• comply with law or third-party platform requirements;
• address bugs or vulnerabilities; or
• reflect changes in supported advertising platforms or AI Platforms.

2.6 Connected Paths does not guarantee that any particular third-party platform, API, advertising network or AI Platform will remain supported.

3. Eligibility and Business Use

3.1 The Service is made available only to businesses and persons acting in the course of business.

3.2 The Customer warrants that:
• it has full authority to enter into these Terms;
• it owns or is authorised to access each Connected Advertising Account;
• it will only use the Service in accordance with applicable law and advertising platform rules; and
• all information supplied to Connected Paths is accurate and complete.

3.3 If the Customer accesses the Service on behalf of another organisation, the Customer confirms that it has authority to bind that organisation.

4. Account Registration and Security

4.1 The Customer must maintain accurate account details and keep login credentials secure.

4.2 The Customer is responsible for:
• all activity occurring through its Account;
• managing permissions for Authorised Users;
• maintaining the security of API keys, OAuth credentials and advertising account access tokens;
• promptly notifying Connected Paths of any suspected unauthorised access or security incident; and
• all actions, instructions, prompts, requests and campaign decisions made using its Account, Connected Advertising Accounts, API credentials or connected AI Platform, whether initiated directly by the Customer or indirectly through an AI Platform.

4.3 Connected Paths may suspend access immediately where it reasonably believes:
• the Account has been compromised;
• the Service is being used unlawfully or in breach of these Terms; or
• continued access may create security, regulatory or reputational risk.

5. Third-Party Platforms, AI Output and Dependencies

5.1 The Service depends on third-party platforms including Google Ads, LinkedIn Ads, payment processors and third-party AI providers.

5.1A Connected Paths does not warrant that any data obtained from third-party APIs or advertising platforms will be complete, accurate, current, uninterrupted or error-free. Third-party providers may delay, restrict, alter or provide incomplete data and Connected Paths shall not be liable for any resulting inaccuracy or omission.

5.2 Connected Paths is not responsible for:
• outages, suspension or API changes imposed by third-party providers;
• acts or omissions of third-party providers;
• inaccuracies, omissions, hallucinations, fabricated statements, misleading summaries or other errors generated by any AI Platform;
• any instance where an AI Platform misinterprets, misrepresents, reformats, truncates or fails to display Customer Data or data supplied by the Service;
• any output generated by an AI Platform where the underlying data is incomplete, unavailable or not retrieved by the AI Platform;
• decisions made by the Customer based on AI-generated output; or
• changes to the Customer’s advertising account, spend, campaigns or data caused by third-party systems.

5.3 The Customer must comply with all applicable third-party terms, including the terms of the relevant AI Platform, Google Ads, LinkedIn Ads and any connected advertising platform.

5.4 The Customer acknowledges that:
• the Service only provides data to the relevant AI Platform and does not control how the AI Platform interprets, presents or uses that data;
• AI-generated outputs may be incomplete, inaccurate, misleading, fabricated or unsuitable for the Customer’s circumstances;
• the absence of data in an AI response does not necessarily mean that the data was not made available by the Service;
• the Customer is solely responsible for verifying all AI-generated output before relying on it; and
• Connected Paths shall have no liability for any loss arising from reliance on AI-generated output, including where the output hallucinates, misstates or omits information supplied through the Service.

6. Acceptable Use

The Customer must not, and must ensure that Authorised Users do not:
• use the Service for any unlawful, fraudulent or misleading purpose;
• use the Service in a manner that breaches advertising, consumer protection, privacy, competition or intellectual property laws;
• upload or transmit malicious code, malware or harmful material;
• interfere with, disrupt or compromise the security or integrity of the Service;
• reverse engineer, decompile, disassemble or attempt to derive source code from the Service except to the extent expressly permitted by law;
• use the Service to generate discriminatory, defamatory, harmful or unlawful advertising content;
• circumvent usage limits, access controls or technical restrictions;
• use automated means to scrape, replicate or resell the Service; or
• permit any third party to access the Service except Authorised Users.

7. Data Protection and Privacy

7.1 Each party shall comply with all applicable data protection legislation, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations.

7.2 As between the parties:
• the Customer is the controller of Customer Data; and
• Connected Paths acts as processor only to the extent that it processes personal data on behalf of the Customer.

7.3 The parties shall enter into a separate Data Processing Agreement where required by law.

7.4 The Customer must not provide:
• special category personal data;
• criminal offence data;
• personal data relating to children;
• any data requiring heightened legal or regulatory protection; or
• any data not necessary for the operation of the Service,

unless expressly agreed in writing by Connected Paths.

7.5 Connected Paths may process Customer Data:
• to provide and improve the Service;
• for support, maintenance and troubleshooting;
• to monitor security and prevent misuse; and
• where required by law.

7.6 Connected Paths may use aggregated and anonymised usage data, benchmarks, analytics models, prompt templates, derived insights and usage patterns for analytics, benchmarking, service improvement and product development, provided such data does not identify the Customer.

8. Confidentiality

8.1 Each party receiving Confidential Information from the other shall:
• keep it confidential;
• use it only for the purposes of these Terms; and
• not disclose it to any third party except to employees, contractors and advisers who need to know and are bound by confidentiality obligations.

8.2 Confidential Information does not include information which:
• is or becomes public through no fault of the receiving party;
• was lawfully known before disclosure;
• is lawfully obtained from a third party; or
• is independently developed without use of the confidential information.

8.3 This clause survives termination for five years.

9. Intellectual Property

9.1 Connected Paths and its licensors retain all Intellectual Property Rights in the Service, Documentation and all related materials.

9.2 Subject to these Terms and payment of the Fees, Connected Paths grants the Customer a limited, non-exclusive, non-transferable, revocable licence to use the Service during the subscription term.

9.3 The Customer retains ownership of Customer Data.

9.4 The Customer grants Connected Paths a non-exclusive licence to use Customer Data solely as necessary to provide the Service.

9.5 Any suggestions, feedback or enhancement requests provided by the Customer may be used by Connected Paths without restriction or payment.

10. Free Trial

10.1 The Service may be offered with a free trial period of seven days beginning on the date the Customer first activates a paid tariff plan.

10.2 Unless cancelled before the end of the seven-day trial period, the Customer authorises Connected Paths to begin charging the applicable Fees automatically at the end of the trial.

10.3 The Customer may cancel at any time during the trial through the account settings section of the Service or any other cancellation mechanism made available by Connected Paths.

10.4 Connected Paths may withdraw, modify or limit the availability of any trial offer at any time.

10.5 Connected Paths may suspend or terminate any trial where it reasonably believes that the trial is being abused, duplicated or used to circumvent payment obligations.

10.6 No refund or credit shall be provided if the Customer fails to cancel before the end of the seven-day trial period.

11. Fees and Payment

11.1 Connected Paths may use a third-party payment processor to process payments. Connected Paths is not responsible for outages, interruptions or errors caused by the payment processor.

11.2 Fees are payable in advance in accordance with the applicable tariff selected by the Customer.

11.3 Unless otherwise stated:
• all Fees are exclusive of VAT and other applicable taxes;
• Fees shall be charged automatically to the credit card or other payment method provided by the Customer; and
• the Customer authorises Connected Paths and its payment processor to take recurring subscription payments until the subscription is cancelled.

11.4 Fees are non-refundable except where Connected Paths determines, at its sole discretion, that a refund is appropriate because:
• the Customer requests a refund within fourteen (14) days of the date on which the Customer’s subscription was last renewed;
• Connected Paths reasonably believes that the Transaction was made in error or fraudulently;
• Connected Paths reasonably believes that the Transaction may become subject to a Chargeback; or
• Connected Paths is required to provide a refund by applicable law, regulation, a payment method provider, or Payment Scheme Rules.

11.5 If any payment cannot be collected, including because a card has expired, been declined or is otherwise invalid, Connected Paths may retry the payment and may suspend access to the Service immediately until payment details are updated and all outstanding amounts are paid.

11.6 The Customer shall remain liable for any unpaid amounts and for any reasonable costs incurred by Connected Paths in recovering overdue payments, including costs resulting from chargebacks or reversed card payments.

11.7 Connected Paths may suspend the Service where payment remains overdue for more than 14 days.

11.8 Connected Paths may increase Fees on renewal by giving at least 30 days’ written notice.

12. Subscription Term and Renewal

12.1 The subscription term shall correspond to the tariff selected by the Customer, including monthly or annual subscription periods as stated on the pricing page.

12.2 Unless cancelled before the end of the then-current subscription period, the subscription shall automatically renew for successive monthly or annual periods, as applicable, and the Customer authorises Connected Paths to charge the then-current subscription price automatically.

12.3 Either party may prevent renewal by giving at least 30 days’ written notice before the end of the then-current term.

13. Service Levels and Support

13.1 Connected Paths shall use reasonable skill and care to provide the Service.

13.2 Unless otherwise agreed in writing:
• the Service is provided on an “as is” and “as available” basis;
• no guaranteed uptime or service level applies; and
• support is provided during normal UK business hours.

13.3 Planned maintenance may be carried out from time to time. Connected Paths will use reasonable efforts to minimise disruption.

14. Warranties

14.1 Connected Paths warrants that it has the right to provide the Service.

14.2 Except as expressly stated in these Terms, all warranties, representations and conditions are excluded to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, satisfactory quality and non-infringement.

14.3 Connected Paths does not warrant that:
• the Service will be uninterrupted or error-free;
• AI-generated outputs will be accurate or suitable;
• campaign performance or return on advertising spend will improve; or
• use of the Service will produce any particular business outcome.

14.4 The Service and any output generated through it do not constitute legal, financial, tax, accounting, investment or marketing advice and must not be relied upon as such.

15. Limitation of Liability

15.1 Nothing in these Terms limits or excludes liability for:
• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• any other liability that cannot lawfully be excluded.

15.2 Subject to clause 15.1, Connected Paths shall not be liable for:
• loss of profits;
• loss of revenue;
• loss of business opportunity;
• loss of data;
• loss of goodwill;
• wasted advertising spend;
• indirect or consequential loss; or
• any loss arising from the acts or omissions of third-party providers or AI Platforms.

15.3 Subject to clause 15.1, Connected Paths’ total aggregate liability arising under or in connection with these Terms shall not exceed the greater of:
• the total Fees paid by the Customer to Connected Paths in the 12 months preceding the claim; or
• £100.

15.4 No claim may be brought against Connected Paths more than 12 months after the date on which the cause of action arose.

15.5 The Customer acknowledges that automated or AI-assisted actions may affect advertising accounts and budgets, and the Customer remains responsible for all advertising decisions and expenditure.

16. Indemnity

The Customer shall indemnify and keep indemnified Connected Paths against all losses, claims, liabilities, costs and expenses arising out of:
• the Customer’s breach of these Terms;
• unlawful or unauthorised use of the Service;
• any content, campaign or advertising material submitted by the Customer; or
• the Customer’s breach of any third-party platform terms.

17. Suspension and Termination

17.1 Connected Paths may suspend or terminate the Service immediately where:
• the Customer materially breaches these Terms;
• payment remains overdue;
• the Customer becomes insolvent;
• continued provision of the Service would expose Connected Paths to legal, regulatory or security risk; or
• a third-party provider, including any AI Platform, advertising platform or payment processor, requires suspension or termination or changes its terms in a manner that makes continued provision impracticable or unlawful.

17.2 The Customer may terminate the Service on written notice if Connected Paths commits a material breach and fails to remedy it within 30 days.

17.3 Upon termination:
• the licence granted under these Terms ends immediately;
• the Customer must stop using the Service;
• Connected Paths may delete Customer Data after 30 days unless legally required to retain it; and
• accrued rights and obligations continue.

18. Beta Features

18.1 Connected Paths may designate certain features as beta, pilot, preview or early access.

18.2 Beta features are provided for evaluation purposes only and may be incomplete, unstable or withdrawn without notice.

18.3 Connected Paths excludes all liability relating to beta features to the fullest extent permitted by law.

19. Publicity

Connected Paths may identify the Customer by name and logo as a customer of the Service unless the Customer notifies Connected Paths in writing that it does not consent.

20. General

20.1 Connected Paths may assign or transfer its rights and obligations under these Terms.

20.2 The Customer may not assign these Terms without prior written consent.

20.3 No failure or delay by either party to exercise any right shall constitute a waiver.

20.4 If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20.5 These Terms constitute the entire agreement between the parties and supersede all prior discussions or representations.

20.6 Connected Paths may amend these Terms from time to time by posting updated Terms on its website or within the Service. Material changes shall take effect no earlier than 30 days after notice is given to the Customer.

20.7 Continued use of the Service after the effective date of amended Terms constitutes acceptance of those amended Terms.

20.8 A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision.

21. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with these Terms shall be governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
